These Terms of Service cover

We know it’s tempting to skip these Terms of Service, but it’s important to establish what you can expect from us as you use QUADPRIME services, and what we expect from you. 

QUADPRIME, QUADPRIME SOLUTIONS. we and us refers to QUADPRIME SOLUTIONS LLC and any of our corporate affiliates. We offer a wide range of products, including our cloud, server and data center products. We refer to all of these products, together with our other services and websites as "Services" in this policy.

1.1) Acceptance of our Terms
By visiting the website QUADPRIME, viewing, accessing or otherwise using any of the services or information created, collected, compiled or submitted to QUADPRIME, you agree to be bound by the following Terms and Conditions of Service. If you do not want to be bound by our Terms your only option is not to visit, view or otherwise use the services of QUADPRIME. You understand, agree and acknowledge that these Terms constitute a legally binding agreement between you and QUADPRIME and that your use of QUADPRIME shall indicate your conclusive acceptance of this agreement.

1.2) Provision of Services
You agree and acknowledge that QUADPRIME is entitled to modify, improve or discontinue any of its services at its sole discretion and without notice to you even if it may result in you being prevented from accessing any information contained in it. Furthermore, you agree and acknowledge that QUADPRIME is entitled to provide services to you through subsidiaries or affiliated entities.

1.3) Proprietary Rights
You acknowledge and agree that QUADPRIME may contain proprietary and confidential information including trademarks, service marks and patents protected by intellectual property laws and international intellectual property treaties. QUADPRIME authorizes you to view and make a single copy of portions of its content for offline, personal, non-commercial use. Our content may not be sold, reproduced, or distributed without our written permission. Any third-party trademarks, service marks and logos are the property of their respective owners. Any further rights not specifically granted herein are reserved.

1.4) Submitted Content
When you submit content to QUADPRIME you simultaneously grant QUADPRIME an irrevocable, worldwide, royalty free license to publish, display, modify, distribute and syndicate your content worldwide. You confirm and warrant that you have the required authority to grant the above license to QUADPRIME.

1.5) Termination of Agreement
The Terms of this agreement will continue to apply in perpetuity until terminated by either party without notice at any time for any reason. Terms that are to continue in perpetuity shall be unaffected by the termination of this agreement.

1.6) Disclaimer of Warranties
You understand and agree that your use of QUADPRIME is entirely at your own risk and that our services are provided “As Is” and “As Available”. QUADPRIME does not make any express or implied warranties, endorsements or representations whatsoever as to the operation of the QUADPRIME website, information, content, materials, or products. This shall include, but not be limited to, implied warranties of merchantability and fitness for a particular purpose and non-infringement and warranties that access to or use of the service will be uninterrupted or error-free or that defects in the service will be corrected.

1.7) Limitation of Liability
You understand and agree that QUADPRIME and any of its subsidiaries or affiliates shall in no event be liable for any direct, indirect, incidental, consequential, or exemplary damages. This shall include, but not be limited to damages for loss of profits, business interruption, business reputation or goodwill, loss of programs or information or other intangible loss arising out of the use of or the inability to use the service, or information, or any permanent or temporary cessation of such service or access to information, or the deletion or corruption of any content or information, or the failure to store any content or information. The above limitation shall apply whether or not QUADPRIME has been advised of or should have been aware of the possibility of such damages. In jurisdictions where the exclusion or limitation of liability for consequential or incidental damages is not allowed the liability of QUADPRIME is limited to the greatest extent permitted by law.

1.8) Return Policy
Any claims for misprinted/damaged/defective items must be submitted within 14 days after the product has been received. For packages lost in transit, all claims must be submitted no later than 14 days after the estimated delivery date. Claims deemed an error on our part are covered at our expense.

If you or your end customer provide an address that is considered insufficient by the courier, the shipment will be returned to our facility. You will be liable for reshipment costs once we have confirmed an updated address with you (if and as applicable).

Shipments that go unclaimed are returned to our facility and you will be liable for the cost of a reshipment to yourself or your end customer (if and as applicable).

QUADPRIME does not accept returns of sealed goods, such as but not limited to face masks, which are not suitable for return due to health or hygiene reasons. You hereby agree that any returned orders with face masks won’t be available for reshipping and will be disposed of.

The artwork for customized items must be approved in writing in advance. QUADPRIME does not accept returns on misprinted customized items.

According to Article 16(c) and (e) of the Directive 2011/83/EU of the European Parliament and of the Council of 25 October 2011 on consumer rights, the right of withdrawal may not be provided for:

1. the supply of goods that are made to the consumer's specifications or are clearly personalized;
2. sealed goods which were unsealed after delivery and thus aren't suitable for return due to health protection or hygiene reasons

1.9) Payment Terms
You can securely pay for all orders and invoices online using your credit card or other payment methods. Point your browser to https://go.quadpri.me/pay/ to learn about additional accepted payment methods, local bank info and transaction fees. Don't hesitate to contact us if you have any questions or need clarifications.

Please be aware that payments made using processors such as PayPal, CashApp, Venmo, or Stripe are subject to a 3.9% transaction fee. If you choose to pay via one of these methods, kindly calculate the fee and add it to your invoice total before completing your payment.

Invoices not paid before the due date are subject to additional fees and sanctions. A fee of $25.00 becomes due on all invoices not paid on or before the due date, additionally there is a 3.5% monthly interest charge. Discounts provided on invoices are only valid if they are paid on time, the full amount with all discounts removed becomes due on all late invoices. All products and media remain property of QUADPRIME until paid in full. We reserve the right to remove access to any unpaid services, media or products.

For security reasons QUADPRIME does not store or has access your financial information such as credit card numbers or bank account info. We exclusively use the services of third party payment processors to accept payments and you may elect to save your payment information on their websites if they provide such feature.

1.10) External Content
QUADPRIME may include hyperlinks to third-party content, advertising or websites. You acknowledge and agree that QUADPRIME is not responsible for and does not endorse any advertising, products or resource available from such resources or websites. 

1.11) Jurisdiction
You expressly understand and agree to submit to the personal and exclusive jurisdiction of the courts of the country, state, province or territory determined solely by QUADPRIME to resolve any legal matter arising from this agreement or related to your use of QUADPRIME. If the court of law having jurisdiction, rules that any provision of the agreement is invalid, then that provision will be removed from the Terms and the remaining Terms will continue to be valid.

1.12 ) Force Majeure
Neither party will be liable for inadequate performance to the extent caused by a condition (for example, natural disaster, act of war or terrorism, riot, labor condition, governmental action, and Internet disturbance) that was beyond the party’s reasonable control.

1.13) Entire Agreement
You understand and agree that the above Terms constitute the entire general agreement between you and QUADPRIME. You may be subject to additional Terms and conditions when you use, purchase or access other services, affiliate services or third-party content or material.

1.14) Changes to the Terms
QUADPRIME reserves the right to modify these Terms from time to time at our sole discretion and without any notice. Changes to our Terms become effective on the date they are posted and your continued use of QUADPRIME after any changes to Terms will signify your agreement to be bound by them.

1.15) Translations and Interpretations
These Terms shall be governed and interpreted in accordance with the English language, regardless of any translations made for any purpose whatsoever.
